Create and manage contractual clauses [Release date: August 4, 2026]
Create and track contractual clauses for agreements and alliances with reminders.

Contractual clauses let you capture and track the legal constraints embedded in an agreement or amendment — such as exclusivity, non-compete, or confidentiality provisions. In Inpart Deal, contractual clauses are a distinct object type, linked to a specific agreement, with their own lifecycle, fields, filters, and milestone integration.
Create a contractual clause
A contractual clause must always belong to an agreement. Selecting an agreement is mandatory before saving.
- From the hub, click Create and select the agreement the clause belongs to.
- In the Type field, select Contractual Clause. An information box appears to help you choose between Obligation and Contractual Clause — it disappears once you make your selection.
- Select a Clause type from the inline dropdown. Only contractual clause types are listed.
- Enter a Clause name (mandatory).
- Fill in the remaining fields as needed. See Field reference below.
- Click Save and close, Save and new, or Save and duplicate.
Attachments (files and links) cannot be added at creation. You can add them after the clause has been saved.

| Terminates with agreement | Checked by default. When checked, the clause switches to Terminated if the agreement is terminated, even if a later expiration date is set. Uncheck to keep the clause active after agreement termination. |
| Milestone trigger | Links the clause's effective date to a milestone's forecasted date plus a configurable delay in days. When enabled, the effective date is calculated automatically and cannot be edited manually. The expiration date remains editable. |
| Responsibility | Indicates who is responsible: Internal, External, or Joint (selected by default). |
| External partners | List of external companies involved in the clause. |
| Territories | Pre-filled from the agreement if territories are defined there. You can edit this field freely — any country can be selected, independently of the agreement. |

Effective and expiration date behavior
The behavior of the date fields depends on whether dates are already defined in the parent agreement.
When the agreement already has dates
- The date field is pre-filled and the toggle is turned on, showing the agreement date.
- If you change the date manually or remove it, the toggle turns off automatically.
- If you switch the toggle off manually, the date field is cleared.
When the agreement has no dates yet
- The date field is empty and the toggle is turned off, showing the text Align with agreement effective date when it is defined.
- You can turn the toggle on so the date is auto-populated when the agreement date is eventually set.
- You can also enter a date directly using the date picker — the toggle remains off in this case.
If a milestone trigger is enabled, the effective date toggle is hidden. The date is calculated automatically from the milestone's forecasted date and the configured delay.
Clause status
The clause status is set and updated automatically — it is not editable at creation. After creation, you can manually set a clause to In dispute or Terminated. All other status transitions are automatic.

View and edit a contractual clause
Each contractual clause has a dedicated detail page, available as a panel view or a full-page view. The header displays the current status, owner, dates, and linked agreement at a glance.
To edit a clause, open it and update the relevant fields directly. Users with access to the parent agreement, or who are designated as clause owner, can edit and delete clauses.
Deleting a clause permanently removes it after confirmation. This action cannot be undone.
Filter and configure columns
In the Contractual Clauses list view, you can filter clauses and configure which columns are displayed to focus on the information most relevant to you.

The keyword search scans all visible columns and highlights matching terms in the results.
Column configuration
Use the column settings to select which fields appear in the list. Your column preferences are saved and persist across sessions. You can also save custom views for quick access.
Contractual clauses in the milestone view
When a contractual clause is linked to a milestone trigger, it appears in the milestone view alongside the milestone it depends on. For each clause, you can see the clause name, current status, and the relevant date (effective or expiration, depending on status).
Only clauses that have a milestone trigger configured appear in the milestone view.
Email notifications
The clause owner, agreement owner, and alliance owner receive email notifications when:
- The clause status changes.
- The clause is 30 days away from its expiration date.
Notifications are sent immediately when triggered. If you hold multiple roles on the same clause, you receive a single notification rather than duplicates. You can manage your notification preferences to opt out by notification type or globally.
